HISTORY
Transition North Cornwall Ltd was registered on 8th November 2008 as a company limited by Guarantee. It was started by the Steering Group of Transition North Cornwall Society to replace the Society and take on all its functions in order to protect members from the unlimited personal financial liability associated with the unincorporated society structure. The change occured on 23rd March 2009.
The original Transition North Cornwall Society was constituted on the 29th March 2008.
Both the company and the society held their AGM on 23rd March 2009, where the company's plans were approved and the society disbanded.
The Society disbanded with a large majority backing from existing members. However a small minority of members who opposed the closing down of the Society, have organised and held another meeting on 12th May 2009. This meeting has re-confirmed the decision of the Society members to close the Society down.
TNC Ltd currently has over 40 members and more than 800 friends on our email list. Its structure and main functions are detailed in its constitution.

Minutes of the Transition North Cornwall (TNC) Steering Group (SG) held at Cottage Farm, Jacobstow on 22nd September at 7pm.
Present: Paul Sousek, Mike Grigg, Rebecca Rapson
Apologies: Lesley Nel, Jacki Ellis-Martin
1 Selection of Chair: RR was selected to chair the meeting and PS to take the minutes.
2 TNC Situation: PS described the formation of TNC, presented the TNC Constitution and Aims (also published on the website/ Forum/ North Cornwall/ Administration), described resignations from previous Steering Group meeting, presented ‘resignation letter’ and past Minutes, described his call to members for volunteers to the Steering Group. All past and current SG members are volunteers. New SG will be selected at the first AGM, which needs to be held by 29th March 2009.
Following this MG and RR confirmed their decision to serve on the Steering Group.
3 Acceptance of Minutes 8: Minutes accepted as presented.
4 Acceptance of resignations: The Steering Group has accepted the resignations tendered at the previous Steering Group meeting with immediate effect.
5 Appointment of a Treasurer: The Steering Group have decided to appoint PS as the Treasurer on a temporary basis – to be reviewed at future meetings. Action : PS
6 The Steering Group has decided to set up a Company Limited by Guarantee, which will be used as a successor to the current voluntary not-for-profit unincorporated society. This will offer financial protection to Members as well as Officers of Transition North Cornwall in the event of a financial liability resulting from the activities of the company. Action: PS
7 Website: PS explained that the original website was developed and hosted by a member using Drupal system. This was later withdrawn, so PS had ported the website to another ISP. Improvements are required, but difficult due to lack of experience with this system.
The Steering Group have decided to continue with the existing system, examine its working and comment on any useful improvements. Action: all
8 Publicity for TNC and website: The Steering Group discussed how best to promote the website as a means of recruiting members. The following steps were discussed:
a) RR will circulate her email list for press releases. Action RR
b) RR will email examples of press releases to SG. Action RR
c) We agreed to generate an article/ letter to local newspaper and/or press release with a reference to TNC and website. Action All
d) MG will email report on Community Action Plan (EDAP) at St Issey for publication on the website. Action MG
e) NA
f) RR recommends Network Cornwall (http://www.networkcornwall.net/) for announcements and member recruitment. RR to insert a note/ article pointing to TNC website. Action: RR
g) MG is contacting Transition Towns, register TNC with the Transition Movement. Action: MG
h) RR recommends the Good Home Show (March 2009) – details please. Action RR
i) All to check the Resources section of website and suggest further resources, if possible. Action All
9 Events
a) Launceston Environment Day 23/9: PS agreed to produce materials, man the stand, membership forms, Interest forms. Action PS
b) Showing of available Peak Oil and Transition films: through website and emails to Contacts. Action PS.
c) Participation at shows: Look out for shows unrelated to Transition and participate in some way. Garden clubs, Allotments, Garden shows – for membership recruitment
d) Visiting speakers and film viewing/ presentations, venues in North Cornwall. All: provide a list of 2-3 halls in own neighbourhood for speaking and viewing events: full address, contacts, capacity, cost, any special conditions to build up a list for future events. Action All.
10 Next meeting: 13.10.2008 7-9pm on Skype. If we are ready to sign the paperwork for the new Company Limited by Guarantee, then we shall meet at either MG or RR place.
