HISTORY

Transition North Cornwall Ltd was registered on 8th November 2008 as a company limited by Guarantee. It was started by the Steering Group of Transition North Cornwall Society to replace the Society and take on all its functions in order to protect members from the unlimited personal financial liability associated with the unincorporated society structure. The change occured on 23rd March 2009.

The original Transition North Cornwall Society was constituted on the 29th March 2008.

Both the company and the society held their AGM on 23rd March 2009, where the company's plans were approved and the society disbanded.

The Society disbanded with a large majority backing from existing members. However a small minority of members who opposed the closing down of the Society, have organised and held another meeting on 12th May 2009. This meeting has re-confirmed the decision of the Society members to close the Society down.

TNC Ltd currently has over 40 members and more than 800 friends on our email list. Its structure and main functions are detailed in its constitution.

Minutes 3
Minutes of third meeting of the Transition North Cornwall Steering Group held at Peter Mcgregors home in *** on 10 March 2008 at 7pm.
Present: Jonathan Stocks (chair), Paul Sousek, Jackie Carpenter, Mark Norman, Peter McGregor, Traci Lewis (minutes),
Apologies: None, all present.
Last meeting actions
1. TP logo – Traci contacted Jennifer Grey re use of TP logo, Stuart Walker (TP chair) is now taking this to the next group meeting. Traci will bring back their decision to our next meeting. Jon will also do a couple of logo designs in meantime to bring to next meeting for us to make a decision. We will use an interim logo (from Jon) for advertising Bodmin event on 29 March before actual decision is made. Traci / Jon
2. Website – Mark Nunney has been hard to contact, Peter M will pass his details to Paul to chase. Paul
3. Resources – Jon to circulate resources list. Traci to pass on to Peter ‘power of community’ Jon / Traci
4. Amp / speakers – Jon has managed to get some of these off free cycle for use of group. However we still need projector screen – Jon to also follow this up on freecycle. Jon
5. Yahoo group – Jon to set this up in name Transition NC (Rob Follett from Transition Truro is happy to help with this if required) Jon
6. Pub Quizzes – ongoing action …?! Peter / Mark
7. Hilary Gooch – Has sent Mark three pieces of info following last meeting which she attended. Mark to circulate these around group. Mark
8. Other – Peter raised issue of Mike Haywood’s peak oil digest – he will circulate details round group Peter
Website
Paul has prepared a no of pages and text for website. He will circulate this around group as a text document for us to review and track changes for any comments / amends. Word track changes to be circulated by next Sunday (16 March?). Paul will forward doc individually and track changes to one final document. Final wording resulting from this to be agreed at next meeting. Paul / ALL
Discussion re. need to ensure that Transition NC is found on google / other search engines when Transition north Cornwall is used. Also to ensure that we also own TransitionnorthCornwall.org. Paul to ask Mark Nunney which domain is best for us, as apparently this is his speciality. Also to ask him about using web banner ads eg Lostwithiel / Good energy – as option for future Paul
Constitution
Review of Jackie’s draft in liaison with Paul Martin of Transition Cornwall. She suggested that we become a voluntary unincorporated society and not a company.
First five points were agreed with the following changes to be made:
· We the Steering Group are Transition NC but with wider group options ie. Membership shall be open
· Minumum one general meeting per year
· No of Steering group members 8 max.
· Point 5 – ‘selected by the members’
Discussions were had over:
· Consensus decision making ie. the minority giving way to the majority, rather than resorting to majority vote. All happy to trial this process for this group.

Decision made to hold a general meeting (June?) once we have held an awareness raising event in all main NC towns. We will then use this meeting to offer op to re-elect Steering Group – therefore opportunity for other interested parties to join then. ALL
Transition NC Awareness raising events
· Bodmin 29 March, Shire Hall, Bodmin - Megan Quinn renowned peak oil speaker and producer of Power of Community. Traci organising event with help from Mark and Jon, rest of Steering group should be available to help on night (tbc). Traci to contact / delegate where support required. Jon can help with logo and poster for marketing. Traci to do intros on night and introduce Transition North Cornwall as a group. Traci / Mark / Jon / ALL?
· Wadebridge - Initial event held on 16 January served this purpose.
· Camelford – Jackie / Jon
· Launceston Jackie / Jon
· Bude Paul
· St Merryn - Peter to organise event here in liaison with transition group. Peter
