HISTORY
Transition North Cornwall Ltd was registered on 8th November 2008 as a company limited by Guarantee. It was started by the Steering Group of Transition North Cornwall Society to replace the Society and take on all its functions in order to protect members from the unlimited personal financial liability associated with the unincorporated society structure. The change occured on 23rd March 2009.
The original Transition North Cornwall Society was constituted on the 29th March 2008.
Both the company and the society held their AGM on 23rd March 2009, where the company's plans were approved and the society disbanded.
The Society disbanded with a large majority backing from existing members. However a small minority of members who opposed the closing down of the Society, have organised and held another meeting on 12th May 2009. This meeting has re-confirmed the decision of the Society members to close the Society down.
TNC Ltd currently has over 40 members and more than 800 friends on our email list. Its structure and main functions are detailed in its constitution.

Minutes 2
Minutes of the second meeting of the Transition North Cornwall Steering Group held at Trelay Farm on Monday 25th February 2008 at 7pm.
Present: Jackie Carpenter (chair), Jonathan Stocks (minutes), Mark Norman, Peter McGregor, Traci Lewis, Paul Sousek. Guest: Hilary Gooch (+Steve Woods observing).
Apologies: None, all present.
1 Actions update
1.1 The one-page constitution has been circulated and will be discussed in detail next time.
1.2 Jackie has emailed all who came to Wadebridge to ask for help with designing a logo and housestyle and has had no reply.
1.3 Peter has contacted the Transition Network (Rob Hopkins etc) to tell them we exist.
1.4 Mark had an action to find out how we can work with Hilary Gooch, the Sustainability Officer for North Cornwall District Council and he had contacted her and brought her to this meeting.
2 Guest
Hilary Gooch, Sustainable Development Officer for North Cornwall District Council, joined us for our meeting. We were able to hear Hilary describe the key functions of her post:
- Working within the council to change policy development, services and staff training.
- Community development work (i.e. supporting projects like ours)
- Provides secretariat on a forum of organisations such as Environment Agency, Police, Friends of the Earth. (Jackie asked if we can have a member on the forum?)
- Energy Management and Climate Change
Hilary offered to provide us with three pieces of information:
1 - North Cornwall Ecological Footprint Report
2 – The Energy Consumption and CO2 dataset for North Cornwall
3 – Information on the forum, whether it still exists, and whether we can join
We were very grateful to Hilary for giving up her evening to be with us and thanked her for doing so and to Mark for arranging this.
3 Review of Resources
The remainder of the evening was spent reviewing various Powerpoint presentations that may in part or as a whole be useful material in awareness raising events. DVDs were brought to the meeting by each member and loaned to each other to be viewed before the next meeting.
4 Actions
4.1 Circulate list of parishes and parish map. Action: Jackie
4.2 Ask graphic designer who is a personal friend if he can help with house-style. Action: Jackie
4.3 Progress website further. Action: Paul
4.4 Collate resources list (DVDs etc). Action: Jon

4.6 Find out about our own quiz night and about pubs with quiz nights – action on-going. Action: Mark and Peter
4.7 Provide the three pieces of information mentioned in Section 2 Action: Hilary, Mark to chase if necessary.
4.8 Identify halls in Bodmin and all across North Cornwall ready to fix events. Action: All.
