HISTORY
Transition North Cornwall Ltd was registered on 8th November 2008 as a company limited by Guarantee. It was started by the Steering Group of Transition North Cornwall Society to replace the Society and take on all its functions in order to protect members from the unlimited personal financial liability associated with the unincorporated society structure. The change occured on 23rd March 2009.
The original Transition North Cornwall Society was constituted on the 29th March 2008.
Both the company and the society held their AGM on 23rd March 2009, where the company's plans were approved and the society disbanded.
The Society disbanded with a large majority backing from existing members. However a small minority of members who opposed the closing down of the Society, have organised and held another meeting on 12th May 2009. This meeting has re-confirmed the decision of the Society members to close the Society down.
TNC Ltd currently has over 40 members and more than 800 friends on our email list. Its structure and main functions are detailed in its constitution.

Transition NC, unincorporated society – Constitution - dissolved
Transition North Cornwall, unincorporated society – Constitution - now dissolved.
1. The name of the Society is Transition North Cornwall (also known as TransitionNC). It is a voluntary not-for profit unincorporated society.
2. The aims of the Society are :
(a) To increase awareness about Peak Oil, Climate Change and Transition solutions.
(b) To support the development of local Transition groups in North Cornwall
(c) To act as a communication network for Transition work in North Cornwall
3. Membership shall be open to any interested party who agrees with the aims and who wishes to help to further the aims. Members may include individuals and representatives of interested organisations. To become a Member, a person must fill in a form stating their wish to be a Member. There shall be no membership fee.
4. General Meetings shall be advertised to all Members of the Society and shall be open to all Members.
General Meetings shall be held at least once a year. Three Members acting together have the right to call a General Meeting through the Steering Group, who will agree the venue, date and time.
5. There will be a Steering Group consisting of at least three and no more than ten people. Members of the Steering Group must be Members of the Society. They will be selected by the Members at a General Meeting. Additional members may be co-opted by the Steering Group. The Steering Group will meet as often as it sees fit. Decisions shall be made by consensus. Minutes of the meetings of the Steering Group will be made available to all Members.
6. At each meeting of the Steering Group, the Steering Group will select a Minutes Secretary from among its members, who will write the minutes for that meeting and will usually act as Chairman at the following meeting. At any meeting, the Steering Group may select a Chairman from amongst its members. Meetings of the Steering Group may be attended by Observers.
7. From amongst the Members of the Society, the Steering Group will select a Secretary (whose duties will include dealing with correspondence on behalf of the Society), a Membership Secretary (whose duties shall be to keep a list of the names and email addresses of Members and to send out calling notices and minutes to Members) and a Treasurer (whose duties shall be to pay all money received by the Society into the bank account (see 9), write cheques to creditors of the Society and to ensure that accounts are kept and an annual accounts sheet is produced) and a Webmaster (whose duties will include making sure the website is up-to-date). Other officers may be created at the discretion of the Steering Group.
8. An AGM shall be held annually. At the AGM, the annual accounts sheet shall be presented together with any annual report of activities, and the members of the Steering Group for the coming year shall be selected.
9. The Society may open and maintain a bank account. There shall be two signatures required for each authorisation to withdraw money. The signatories shall be the Treasurer and one other member of the Steering Group.
10. Methods of raising money may be devised by the Steering Group in order to further the aims of the Society.
11. The spending of money shall be decided and minuted by the Steering Group. All members of the Steering Group shall be responsible for seeing that any money raised is spent wisely in ways which further the aims of the Society. In the event of dissolution, any money in the ownership of the Society shall be donated to the Transition Network, or to another non-profit organisation with similar aims.
12. Working Groups (consisting of several people or an individual) may be set up at a General Meeting or by the Steering Group. Working Groups may be given specific tasks, authority and a budget to carry out those tasks. The budget for a Working Group may include payment to individuals or organisations for a defined set of work. A Working Group need not keep minutes but shall issue reports to its originating body.
13. Partnerships with other organisations and community groups may be developed as appropriate in order to further the aims of the Society.
14. This Constitution may be changed at any General Meeting of the Society provided that the changes are agreed by 80% of those voting and provided that at least one week's notice of the constitutional change or changes is given in a calling notice sent to all Members.

This Society has disbanded on 23rd March 2009 with 81% backing from existing members and replaced by Transition North Cornwall Ltd to protect both members and officers from the unlimited personal liability associated with the unincorporated society structure.
Minority of members who opposed the closing down of the Society, have organised and held another meeting on 12th May 2009. This meeting has re-confirmed the decision of the Society members to close the Society down.
